Terms of Service

01Agreement

These Terms of Service form an agreement between you and Memzo Inc. (“MEMZO”). By using memzo.cc, creating an account or buying a service, you agree to these terms and to the policies linked from them. If you do not agree, do not use MEMZO.

02Who can use MEMZO

• You must be at least 18 and able to enter a binding contract.
• If you act for a company or group, you confirm you are authorised to bind it.
• You must not be located in, or a resident of, a country subject to comprehensive sanctions, or be on a sanctions list.
• You are responsible for making sure that creating and promoting a token is lawful where you live.

03Our services

MEMZO provides token creation, branding, website, launch preparation, listing assistance and ongoing management services. What each plan includes is listed on our pricing page; custom work is described in a written quote.

04What MEMZO is not

05Prices and payment

• Plan prices are fixed and shown before purchase. Custom work is quoted in writing before anything is charged.
• Prices do not include blockchain network (gas) fees, liquidity you provide, or fees charged by third-party platforms unless the plan or quote says so.
• You are responsible for any taxes that apply to your purchase, other than taxes on our income.
• Work starts once payment, or the agreed deposit, has been received.

06Your responsibilities

• Give us accurate information and respond to review requests so we can keep to the timeline.
• Only give us names, logos, images and other material you have the right to use.
• Make sure your token, its promotion and any sale comply with the law, including securities, consumer-protection and advertising rules.
• Keep your wallets, private keys and seed phrases secure. MEMZO will never ask for them.
• Follow our Acceptable Use Policy.

07Deployment and irreversibility

Before we deploy a token contract we ask you to review and approve the configuration. Once deployed, a contract and its on-chain transactions generally cannot be changed or reversed. Errors in details you approved are your responsibility; errors we make against the approved configuration are covered by our Refund, Return & Cancellation Policy.

08Third-party platforms

Listings, tracker pages, social accounts, exchanges and wallets are run by third parties with their own rules. We can prepare and submit information for you, but approval, ranking and continued availability are decided by those platforms. MEMZO does not guarantee any listing.

09No guarantees of results

We do not promise or guarantee any token price, market capitalisation, trading volume, liquidity, holder count, listing, return or other financial outcome. Figures on our website describe our past work, not what your project will achieve. See our Risk Disclosure.

10Intellectual property

When you have paid in full, we transfer to you our rights in the final deliverables made specifically for your project (such as your logo, artwork and website design). MEMZO keeps ownership of its own tools, templates, code libraries and know-how, and grants you the licence you need to use them as part of your deliverables. We will only show your project in our portfolio with your permission.

11Refunds and cancellation

Refunds, returns and cancellations are covered by our Refund, Return & Cancellation Policy.

12Suspension and termination

We may pause or end our services if you breach these terms or the Acceptable Use Policy, if we reasonably suspect fraud or illegal activity, or if the law requires it. You can stop using MEMZO at any time. Sections that by their nature should survive (such as payment, intellectual property, limitation of liability and governing law) continue after termination.

13Disclaimers

Apart from the commitments in these terms and your plan or quote, our services and website are provided “as is” and “as available”. To the extent the law allows, we disclaim other warranties, including fitness for a particular purpose and uninterrupted or error-free operation.

14Limitation of liability

To the extent the law allows, MEMZO is not liable for indirect or consequential losses, lost profits, trading losses, loss of tokens or cryptocurrency, or losses caused by third-party platforms, blockchain networks or market conditions. Our total liability for any claim is limited to the fees you paid us for the service concerned in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law.

15Indemnity

You agree to cover MEMZO’s reasonable losses and costs arising from claims by others about material you supplied, your token or its promotion, or your breach of these terms or the law.

16Governing law and disputes

These terms are governed by the laws of the State of New York, United States of America (without regard to its conflict-of-law rules), and the federal laws of the United States that apply there. Before starting formal proceedings, please contact us so we can try to resolve the issue informally. Nothing here removes consumer rights you have under the law of the country where you live.

17Changes to this agreement

We may update this agreement as our services or the law change. When we do, we will change the “last updated” date at the top of the page, and if a change materially affects you we will tell you by email or with a notice on the site before it takes effect.
